Zer.lv Terms of Use
These Terms form a binding business agreement between SIA FIXLAB and the customer for access to and use of the Zer.lv software service.

1. Provider, scope and business use
Zer.lv is provided and subscription invoices are issued by SIA FIXLAB, registration No. 40203523267, VAT No. LV40203523267, legal address Liepu aleja 38, Babīte, Babītes pag., Mārupes nov., LV-2101, Latvia, email fixlablv@gmail.com, phone +371 26982943, IBAN LV46HABA0551056093125.
Zer.lv is offered only to legal persons and adults acting in connection with their business, trade or professional activity. It is not offered for private consumer use. If mandatory law nevertheless treats a customer as a consumer, the mandatory rights applicable to that person are not excluded.
2. Definitions
Customer means the individual entrepreneur or company whose registration is approved. Owner means the natural person who registers and controls the customer workspace. Authorised User means an owner or employee whom the owner permits to use Zer.lv. Workspace Data means information entered, imported, generated or uploaded by the customer or its users. Subscription means the prepaid right to use Zer.lv for the period, plan and user limit shown in the invoice, activation information or account.
The Terms include these Terms of Use, the Zer.lv Privacy and Personal Data Processing Terms, the Data Processing Agreement (DPA), the applicable invoice and any written plan-specific agreement.
3. Registration and formation of the agreement
The owner must provide accurate and current identity, contact and, where applicable, company, registration, VAT, legal-address and bank-account information. The owner confirms authority to bind the customer and must correct changed information without undue delay. An email address or phone number already used by an existing account cannot be registered again without SIA FIXLAB's approval.
Submitting the registration form is an application and acceptance of these Terms if the application is approved; it is not automatic acceptance by SIA FIXLAB. Applications are normally reviewed within one or two business days. The paid-service agreement is concluded when SIA FIXLAB approves the application and sends the subscription invoice. Access starts only after payment is received and the account-bound activation code is accepted. The registration acknowledgement, invoice and activation message may be stored as evidence of the agreement.
Before submission, the owner can review and correct the form. These Terms are available in Latvian, English and Russian and can be saved or printed from Zer.lv.
4. Limited right to use Zer.lv
During an active subscription SIA FIXLAB grants the customer a limited, non-exclusive, non-transferable and non-sublicensable right to access Zer.lv through authorised accounts solely for the customer's internal business activity. No software or intellectual-property ownership is transferred.
The customer may permit employees to use the workspace within the applicable user limit and permissions. The customer may not resell, lease, time-share, white-label or provide Zer.lv as a service to another business unless SIA FIXLAB agrees in writing.
5. Early Access, functions and future subscription plans
The available functions and limits are determined by the selected subscription plan and any individually agreed commercial terms. The applicable plan description and personalised terms specify the active employee, monthly order and file storage limits. The workspace owner is not counted towards the active employee limit. Any feature marked as a preview, pilot, beta, limited test or separately agreed service remains subject to its stated limitations.
Early Access means that Zer.lv is still being developed. Functions, interfaces, calculations and workflows may be tested, improved, replaced, reorganised or withdrawn. Access to a function during Early Access is temporary and does not create an acquired right or a promise that the same function, scope, limit or price will remain available in the Basic plan or any other plan after Early Access.
After Early Access, the Basic subscription will include the principal functions for managing orders, customers, devices and warehouse or inventory records. Their specific implementation, capacity limits and advanced elements may change and are stated in the then-current plan description. Overview and dashboard functions, Finance, Accounting, Calendar, reports, analytics, integrations, automation, advanced exports and other additional or advanced functions may be allocated to different subscription tiers, paid add-ons or separate agreements. The functions, limits and price actually included beyond the stated Basic core are those shown in the applicable plan description, invoice, activation information or written agreement.
SIA FIXLAB may end Early Access and introduce or reorganise subscription tiers by giving at least 30 days' notice to the account email or through Zer.lv. A plan reorganisation will not reduce access already paid for before the end of the current prepaid period, except where a security, legal or urgent technical reason requires an earlier change. For the following period SIA FIXLAB may offer, assign or require selection of an appropriate plan. The customer may decline the new plan by cancelling renewal before it takes effect; continued use or renewal after that date constitutes acceptance of the applicable plan.
6. Price, invoices and payment
The subscription price depends on the selected plan, subscription period and applicable offer. The agreed price is shown in the personalised commercial terms and invoice before payment. A promotional discount applies only for the period and on the conditions stated in the offer. Prices are stated clearly as including or excluding tax; the applicable tax rate, tax amount and total payable are shown on the invoice. The customer is responsible for its own bank, transfer and currency-conversion charges.
Subscriptions are invoiced in advance. The due date and subscription period are shown on the invoice. Payment is made when cleared funds reach the SIA FIXLAB bank account. Zer.lv does not currently make automatic recurring card charges; a future recurring-payment arrangement would require separate clear acceptance by the customer.
SIA FIXLAB may change the price for future periods by giving at least 30 days' notice to the account email. A price change does not alter a period already paid for. The customer may cancel before the changed price takes effect.
7. Activation codes and renewal
After payment is confirmed, SIA FIXLAB sends or assigns an activation code for the customer account. The code is confidential, linked to the designated account, valid until the date stated in the message and may not be transferred, sold or used for another workspace. The subscription period and its end date are shown in the account and may be extended by an additional paid, account-bound code.
If renewal is paid before the current period ends, the additional period follows the existing paid period. If the subscription has expired, the new period starts as recorded when the code is assigned or activated. The customer must promptly report a missing, disclosed or unusable code to fixlablv@gmail.com.
8. Cancellation and refunds
The owner may cancel renewal by emailing fixlablv@gmail.com before the next billing period. Unless access is suspended for breach or security reasons, the customer may use Zer.lv until the end of the paid period. Cancellation does not erase the obligation to pay an invoice already accepted or a period already activated.
Fees for an activated or already commenced period are not refunded pro rata, except where mandatory law requires otherwise. If SIA FIXLAB permanently discontinues the paid service during a prepaid period for reasons not caused by the customer, SIA FIXLAB will provide a reasonable replacement, correction or refund for the unused part of that period.
9. Accounts, employees and security
Each person must use an individual account. Credentials, verification codes, activation codes and active sessions must not be shared. The owner is responsible for assigning the minimum necessary roles, reviewing permissions, disabling former employees, maintaining a secure account email and using available security controls. Actions performed through an authorised account are attributed to the customer unless the customer promptly reported unauthorised access and acted reasonably to protect the account.
The customer must notify fixlablv@gmail.com without undue delay of suspected compromise, unintended access or loss of control over an account or email address. SIA FIXLAB may revoke sessions, require password reset or additional verification, and temporarily restrict access where reasonably necessary to protect accounts or data.
10. Acceptable use
The customer and users must use Zer.lv lawfully and only for legitimate business purposes. They must not access or attempt to access another customer's workspace; bypass roles, tenant isolation, rate limits or security controls; use another person's credentials; probe, scan or test vulnerabilities without prior written permission; disrupt the service; introduce malicious code; scrape or extract data by unauthorised automation; or use Zer.lv to send unlawful, deceptive or unsolicited communications.
Users must not reverse engineer, decompile, disassemble, copy or create derivative works from Zer.lv except to the limited extent that mandatory law expressly permits and cannot be excluded; remove legal or proprietary notices; infringe third-party rights; impersonate another person; upload data they have no right to process; or store content unrelated to the service's business purpose that creates an unreasonable security or legal risk. A security issue must be reported privately to fixlablv@gmail.com and must not be exploited beyond what is necessary to demonstrate it.
11. Customer responsibilities and business decisions
Zer.lv is a workflow, record-keeping and reporting tool. The customer remains responsible for the accuracy and legality of entered information, stock and cash reconciliations, accounting and tax treatment, employee payments, repair and warranty decisions, consumer-law compliance, document wording, statutory retention and all decisions made using reports or templates.
The customer must independently verify important totals, exports and documents before relying on them and maintain any records or independent backups required by law or its own continuity needs. Zer.lv does not provide legal, tax, accounting or repair advice.
12. Workspace Data and personal data
The customer retains its rights in Workspace Data and instructs SIA FIXLAB to host, transmit, secure, back up and otherwise process that data only as needed to provide Zer.lv, comply with the DPA and law, and protect the service. The customer is responsible for having a lawful basis, providing required notices, respecting data-subject rights and ensuring that its users enter only necessary and lawful data.
For Workspace Data, the customer is normally the controller and SIA FIXLAB is the processor under the Zer.lv DPA. For account, billing, direct support, service-security and legal-compliance data, SIA FIXLAB acts as an independent controller as described in the Privacy Terms. In case of conflict concerning personal-data processing, the DPA prevails.
13. Operation, support and changes to the service
SIA FIXLAB applies reasonable professional care to operate, secure, maintain and back up Zer.lv and to correct reproducible material faults within a reasonable time. Support requests may be sent to fixlablv@gmail.com. Unless expressly agreed in writing, no guaranteed uptime, response time or service-level agreement applies to Early Access.
Planned maintenance and urgent security work may temporarily limit access. Where practicable, SIA FIXLAB gives advance notice of material planned interruptions. Backups are maintained for service recovery and are not a substitute for the customer's own export or archive.
14. Third-party services
Zer.lv may depend on hosting, email delivery, Google sign-in, mobile notifications, operating systems, browsers, internet providers and other third-party services. Their own terms and privacy information apply to the customer's direct use of them. SIA FIXLAB remains responsible for selecting and managing its processors as required by the DPA but does not control outages, account decisions or changes made by independent third parties.
Links to external sites are provided for convenience and do not make their content part of Zer.lv. The customer must not provide third-party credentials to SIA FIXLAB unless an expressly supported integration requires it.
15. Suspension and termination
SIA FIXLAB may restrict or suspend access if payment is overdue, the subscription expires, registration information is materially false, use is unlawful, these Terms are materially breached, an account presents a credible security or data-protection risk, or a competent authority requires action. Where the risk is not urgent, SIA FIXLAB will normally give notice and a reasonable opportunity to remedy the breach. Urgent security, legal or cross-workspace risks may be contained immediately.
A suspended or expired account may be limited to sign-in, billing, export or read-only functions, or may be fully unavailable depending on the reason. SIA FIXLAB may terminate for an uncured material breach after notice, or immediately for intentional intrusion, fraud, serious unlawful use or repeated material breach. SIA FIXLAB may discontinue Zer.lv for business reasons with at least 30 days' notice and the remedy described in section 8.
16. Export, return and deletion
Only the owner may use export functions, and exports are limited to the customer's own workspace. Employees may not export company data. The owner should export required information before the subscription ends or the account is deleted.
At the end of processing, available Workspace Data is returned in a supported export format or deleted in accordance with the DPA. Active Workspace Data is normally deleted within 30 days after a verified deletion request or the end of processing; encrypted backup remnants expire through the rolling backup cycle within 30 days. Data that must be retained for accounting, security, fraud prevention, disputes or legal claims is isolated and used only for that purpose. SIA FIXLAB does not guarantee restoration after deletion.
17. Intellectual property and feedback
Zer.lv software, source code, databases as a structure, interfaces, design, documentation, templates supplied by SIA FIXLAB, trademarks and related intellectual property belong to SIA FIXLAB or its licensors. Customer-specific records and materials remain the customer's property. No right is granted except the limited access right expressly stated in these Terms.
If the customer voluntarily provides suggestions or feedback, SIA FIXLAB may use them to improve Zer.lv without payment or restriction, provided this does not disclose the customer's confidential information or identify its clients.
18. Confidentiality
Each party must protect the other party's non-public business, technical, security and customer information with at least reasonable care and use it only to perform or exercise rights under the agreement. Confidential information does not include information that is lawfully public, already known without confidentiality duty, independently developed or lawfully received from another source.
A party may disclose confidential information where law or a competent authority requires it, but where legally permitted it will give prior notice and disclose only what is required. These confidentiality duties survive termination for as long as the information remains confidential.
19. Warranties and disclaimers
SIA FIXLAB warrants that it has the right to provide Zer.lv and will perform the service with reasonable professional care. The customer warrants that it is authorised to enter the agreement, will use Zer.lv lawfully, and has the necessary rights and legal bases for Workspace Data.
Subject to those express commitments and mandatory law, Zer.lv is provided on an Early Access and as-available basis. SIA FIXLAB does not promise uninterrupted or error-free operation, that every function will meet a customer's individual workflow, or that reports, templates or calculations alone establish legal, accounting or technical compliance.
20. Liability and third-party claims
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, opportunity or reputation. SIA FIXLAB's total aggregate liability arising from Zer.lv is limited to the subscription fees actually paid by the customer for the three months immediately preceding the event giving rise to the claim. The limitation does not apply to intentional misconduct, gross negligence or any liability that cannot be limited by law; nor does it limit payment obligations already due.
The customer is responsible for reasonable direct loss and third-party claims caused by its unlawful Workspace Data, infringement of third-party rights, intentional misuse of Zer.lv or material breach of section 10. SIA FIXLAB must notify the customer promptly, allow reasonable participation in the defence and may not agree a settlement imposing non-monetary obligations on the customer without consent. The customer is not responsible to the extent a claim was caused by SIA FIXLAB.
21. Force majeure
Neither party is liable for delay or failure caused by an event beyond its reasonable control that could not reasonably have been prevented, including widespread communications or power failure, natural disaster, war, civil disorder, government action or a large-scale attack on essential infrastructure. The affected party must take reasonable steps to reduce the impact and resume performance. Payment obligations already accrued are not excused. If the event prevents a material part of Zer.lv for more than 30 consecutive days, either party may end the affected subscription by written notice.
22. Changes and notices
SIA FIXLAB may amend these Terms for legal, security, technical or business reasons. Material changes are announced through Zer.lv or to the account email before they take effect, normally at least 14 days in advance; price changes follow the 30-day period in section 6. Urgent changes required by law or security may take effect sooner, with notice as soon as reasonably possible.
Continued use after the effective date constitutes acceptance. If the customer disagrees with a material change, it may cancel before that date and continue only until the current paid period ends. Operational, billing and legal notices may be sent to the account email and are treated as received when they become accessible to the recipient. The owner must keep that address current. Notices to SIA FIXLAB must be sent to fixlablv@gmail.com.
23. Complaints, governing law and general terms
A complaint must be sent to fixlablv@gmail.com and identify the customer, account or invoice, the issue, the requested remedy and available evidence. SIA FIXLAB confirms receipt and normally provides a reasoned written response within 15 working days; if additional investigation is objectively needed, SIA FIXLAB explains the extension and the expected response date.
Latvian law governs the agreement. The parties will first try to resolve a dispute through written negotiation. An unresolved business-to-business dispute is submitted to the competent courts of Latvia, unless mandatory law requires another forum.
The Terms, DPA, Privacy Terms, applicable invoice and written plan agreement form the entire agreement about Zer.lv. An invoice or plan agreement prevails only for its specific commercial terms; the DPA prevails for processor obligations; these Terms prevail otherwise. The customer may not assign the agreement without SIA FIXLAB's written consent. SIA FIXLAB may assign it as part of a reorganisation or transfer of Zer.lv after notice, provided the customer's material rights are not reduced.
Failure to enforce a provision is not a waiver. If a provision is unenforceable, it is adjusted only as far as necessary and the remainder continues. Provisions intended by their nature to survive termination, including payment, confidentiality, intellectual property, data return and liability, remain effective. If translations differ, the Latvian version prevails.
